By accessing or using our platform, you agree to be bound by these terms. Please read them carefully.
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or "User") and AST Consulting ("AST Consulting", "Odin CMS", "we", "us", or "our"), the maker of Odin CMS — an AI-powered content management platform for newsrooms and media teams, available both as a hosted service and as an open-source, self-hosted project. By creating an account, connecting your organization's workspace, or otherwise accessing or using Odin CMS (the "Service"), you accept these Terms in full. If you do not agree, do not use the Service.

1. Acceptance of Terms
By registering for, accessing, or using any part of Odin CMS, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to both you individually and that organization.
2. Eligibility & Accounts
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use the Service. You are responsible for providing accurate registration information and for keeping it up to date. You are solely responsible for all activity that occurs under your account and workspace, including actions taken by team members you invite. Notify us immediately at [email protected] if you suspect unauthorized access to your account.
3. The Service & Acceptable Use
Odin CMS provides advanced AI-powered tools, multi-channel distribution, a web-story and article editor, infographic and video generation, template generation, and real-time analytics for newsroom and content operations. You agree to use these powerful capabilities responsibly and lawfully. You must not use our APIs or platform to distribute malicious content, spam, or overload integrated third-party systems, and you must comply with all applicable laws, including those relating to defamation, copyright, data protection, and export control.
We may modify, add to, or discontinue features of the Service at any time, and while we aim to give reasonable notice of material changes, we are not obligated to maintain any specific feature indefinitely.
4. Authentication & API Responsibility
To fully leverage Odin CMS, you may provide authentication details and third-party API keys (e.g., Google, Anthropic, OpenAI, or other model and distribution providers). You are responsible for maintaining the confidentiality of your account credentials and any API keys you connect to our system, and for all usage and charges those keys incur with the relevant third party. You grant us permission to use these credentials solely for the purpose of executing your workflows on the platform, and we will never use your connected keys for any purpose outside of tasks you initiate.
You are responsible for ensuring you hold valid, current agreements with any third-party provider whose keys or accounts you connect, and for that provider's own terms and acceptable-use policies.
5. AI-Generated Content
Odin CMS uses generative AI models — including third-party large language models you connect — to draft, rewrite, translate, summarize, tag, and repurpose content, and to generate infographics, video, and templates. AI output can be inaccurate, incomplete, or unintentionally biased. You are solely responsible for reviewing, fact-checking, and editing any AI-assisted output before publishing it, and for ensuring it complies with editorial standards, applicable law, and third-party rights (including copyright and the rights of persons depicted or quoted).
We do not claim ownership over content generated through your use of the Service, and we make no representation that AI-generated output is fit for any particular editorial, legal, or regulatory purpose.
6. Intellectual Property
The content you create, process, and distribute using Odin CMS remains your intellectual property. You grant us a limited, non-exclusive license to host, process, and transmit that content solely to operate and provide the Service to you.
The underlying platform, architecture, branding, and proprietary AI orchestration developed by AST Consulting remain our exclusive property. Where Odin CMS is distributed as open-source software (the community edition, odin-headless-cms-ce), that codebase is separately licensed to you under the MIT License available in its repository; nothing in these Terms restricts rights already granted to you under that license.
If you submit feedback, feature requests, or suggestions about the Service, you grant us a perpetual, royalty-free license to use them without obligation to you.
7. Fees, Trials & Open Source
Certain hosted features of Odin CMS may be offered under a paid plan, free trial, or usage-based arrangement communicated to you at the time of signup or in a separate order form. Where fees apply, they are due in advance and non-refundable except as required by law or as expressly stated in your order form. We may suspend access for non-payment after reasonable notice.
The self-hosted community edition of Odin CMS is provided free of charge under its open-source license; these Terms govern your use of any hosted service, account, or API we operate, and do not create payment obligations for self-hosted use.
8. Prohibited Uses
You agree not to, and not to permit any third party to:
- Use the Service to generate or distribute unlawful, defamatory, infringing, or fraudulent content, or content that violates a third party's privacy or publicity rights.
- Reverse-engineer, decompile, or attempt to extract the source code of any proprietary (non-open-source) component of the Service.
- Probe, scan, or test the vulnerability of the Service, or circumvent any rate-limiting, authentication, or security measure.
- Use the Service to train a competing AI model on our proprietary prompts, pipelines, or outputs without written permission.
- Resell, sublicense, or provide the hosted Service to third parties as your own product without our prior written consent.
- Upload malware or use our infrastructure to launch attacks against, or overload, any system, ours or a third party's.
9. Suspension & Termination
You may stop using the Service, or delete your account, at any time. We may suspend or terminate your access if you materially breach these Terms, create risk or legal exposure for us, or if required by law, generally with notice where practicable and immediately in cases of suspected abuse, security threat, or non-payment. Upon termination, your right to use the Service ends immediately; provisions that by their nature should survive (including Sections 6, 10–13, and 15) will continue to apply.
10. Disclaimer of Warranties
Odin CMS is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Due to the complex nature of AI models and third-party API integrations, we do not warrant that the Service will be uninterrupted, error-free, secure, or that AI-generated output will be accurate or suitable for any particular purpose.
11. Limitation of Liability
To the maximum extent permitted by applicable law, AST Consulting and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or editorial reputation, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.
To the extent liability cannot be excluded, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months preceding the claim, or (b) ₹10,000 (Indian Rupees ten thousand).
12. Indemnification
You agree to defend, indemnify, and hold harmless AST Consulting from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service in violation of these Terms, or your violation of any applicable law or third-party right.
13. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to any mandatory consumer-protection law in your jurisdiction, you agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts located in India, and the parties will first attempt in good faith to resolve any dispute through informal negotiation before initiating formal proceedings.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service, legal requirements, or our practices. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice (such as an in-app message or email). Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.
15. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between you and AST Consulting regarding the Service.
